Terms of Service

1. General Scope & Legal Framework

By entering this portal, procuring sample units, placing wholesale orders, or establishing an authorized distribution partnership with Urbanista AB ("Urbanista", "we", "us"), global purchasers and corporate entities ("Buyer", "Partner") unconditionally agree to adhere to these Terms of Service. These terms form a legally binding contract under Swedish law and international commercial standards.

Urbanista designs, engineers, and distributes Scandinavian lifestyle audio solutions—including active noise cancelling (ANC) earphones, wireless over-ear headphones, solar-powered audio products, and IP-rated activity speakers—supplying over 60 markets worldwide. Any customized commercial agreements negotiated in writing between Urbanista AB and authorized distributors shall supersede individual clauses herein where explicitly stated.

2. Commercial Procurement & Order Acceptance

All commercial quotes, proforma invoices, and wholesale price sheets issued by Urbanista AB are non-binding until confirmed via an official Order Confirmation document signed by an authorized commercial officer.

Urbanista reserves the right to decline or adjust commercial orders in cases of extreme raw material price fluctuations, localized trade restrictions, currency devaluations exceeding 5%, or unverified corporate credentials.

3. International Shipping, Incoterms & Customs Regulatory Compliance

Unless explicitly agreed upon in a written B2B Supply Agreement, standard international commercial shipments are executed under FOB (Free on Board) Swedish Warehouse / Main EU Logistics Hub or EXW (Ex Works) Incoterms 2020.

Product Certification & Export Documentation

Every audio product engineered by Urbanista undergoes rigorous technical validation by accredited independent testing laboratories to ensure compliance with major international safety and environmental regulations:

• EU Directives: CE-EMC, RoHS 2.0 (2011/65/EU), REACH (EC 1907/2006), WEEE Directive compliance.
• North American Standards: FCC Part 15 Class B certification, California Proposition 65 testing.
• Battery & Transport Safety: UN38.3 Lithium Battery Transport Testing, MSDS documentation, IEC 62133 safety verification.
• Ingress Protection: Validated IPX4 to IP67 ratings for outdoor and sweat-resistant activity audio gear.

International buyers are responsible for fulfilling localized import filings, customs clearing protocols, and specific territorial labeling requirements outside standard CE/FCC certifications.

4. Manufacturer Warranty Standards & RMA Protocol

Urbanista hardware products carry a 24-Month Limited Manufacturer Warranty against defects in material and workmanship starting from the date of end-user purchase or commercial transfer from an authorized sales channel.

Return Merchandise Authorization (RMA) for B2B Partners

Authorized commercial buyers must register defect claims through their dedicated B2B Account Representative. Defect rates exceeding agreed Acceptable Quality Levels (AQL Level II Standard) will prompt factory audit inspections and full credit memo issuance or replacement batch dispatch.

5. Intellectual Property & Authorized Retail Guidelines

All trademarks, registered design patents, solar-charging integration patents, brand names, visual assets, software applications, and packaging designs remain the exclusive intellectual property of Urbanista AB.

Authorized wholesale buyers and regional retail partners are granted a limited, non-exclusive license to utilize official brand guidelines and high-resolution marketing assets strictly for merchandising Urbanista products within agreed geographic boundaries. Selling products on unauthorized third-party online marketplaces (including Amazon, eBay, or regional discount platforms) without prior written authorization from Urbanista Commercial Legal Counsel is strictly prohibited and constitutes grounds for immediate distribution agreement termination.

6. Enterprise Data Privacy & GDPR Compliance

Urbanista processes commercial data and corporate account information in strict accordance with the European Union General Data Protection Regulation (GDPR - Regulation EU 2016/679). Corporate data collected for commercial execution, warranty logging, or credit checks is secured using enterprise-grade encryption and will never be commercialized to external third parties.

7. Governing Law & International Dispute Resolution

These Terms of Service, along with any B2B supply contracts, purchase orders, or commercial disputes arising hereunder, shall be governed exclusively by the substantive laws of Sweden, excluding its conflict of law principles and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute, controversy, or claim arising out of or in connection with commercial operations with Urbanista AB shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC) in Stockholm, Sweden, conducted in the English language.
